Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the No Time application ("App") and any related services provided by EMGY. By downloading, installing, or using the App, you agree to be bound by these Terms.

The App is operated by EMGY, located at Oost-indiëplaats 2611BS Delft, The Netherlands. You can contact us via email at info@no-time.me.

2. Acceptance of Terms

By creating an account or using the App, you confirm that you are at least 18 years old and capable of entering into a binding agreement. If you do not agree to these Terms, you must not use the App.

3. Description of Service

No Time is a productivity application that provides time tracking, voice transcription, AI-powered insights, and analytics features. The App is designed to help users track and analyze their work productivity.

Premium Features

• Unlimited time entries
• Voice transcription capabilities
• AI-powered productivity insights
• Advanced analytics and reporting
• CSV data export functionality

4. Account Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

5. Subscriptions and Payment

Subscription Plans

• Monthly Premium: €4.99 per month
• Annual Premium: €35.88 per year (save €24)
• Free Trial: 7 days for new premium subscribers

Billing and Payment

All payments are processed through the Apple App Store, and are subject to their terms and conditions. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage your subscription and cancel it through your Apple ID account settings.

Free Trial

New users can access premium features free for 7 days. Your subscription will automatically start at the end of the trial period unless you cancel. You can cancel anytime during the trial without charge.

6. Right of Withdrawal for European Consumers

If you are a consumer based in the European Union, you have a statutory right to withdraw from a contract for the purchase of digital services within 14 days from the day of the conclusion of the contract, without giving any reason.

However, by purchasing a subscription and agreeing to the immediate delivery of digital content, you expressly consent to the immediate start of the service and acknowledge that you thereby lose your right of withdrawal.

7. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You are solely responsible for ensuring your use complies with all applicable laws. You agree NOT to engage in any misuse of the App, including but not limited to:

• Use the App for any illegal, unauthorized, or fraudulent purpose
• Violate any applicable laws, regulations, or third-party rights, including GDPR
• Interfere with, disrupt, or compromise the App's functionality, security, or infrastructure
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Upload, transmit, or distribute malicious code, viruses, worms, trojans, or harmful content
• Reverse engineer, decompile, disassemble, or modify the App or its underlying technology
• Use the App for competitive intelligence, benchmarking, or to develop competing products
• Share, sell, or transfer your account credentials to others
• Submit false, misleading, inaccurate, or fraudulent information
• Use automated tools, bots, scrapers, or scripts to access the App
• Overload, stress-test, or attempt to disrupt our servers or infrastructure
• Circumvent or attempt to bypass any security measures or access controls
• Engage in any form of harassment, abuse, or threatening behavior
• Impersonate any person or entity or misrepresent your affiliation
• Use the App to spam, solicit, or send unsolicited communications
• Collect or harvest personal information of other users
• Use the App in any way that could damage our reputation or business
• Violate any intellectual property rights of EMGY or third parties
• Attempt to probe, scan, or test vulnerabilities in our systems
• Use the App to store or transmit content that is defamatory, obscene, or offensive
• Engage in any activity that interferes with other users' enjoyment of the App
• Use the App to violate any person's privacy or data protection rights
• Create multiple accounts to circumvent usage limits or restrictions
• Use the App for time tracking of illegal activities
• Attempt to defraud EMGY, users, or any third parties
• Use the App in any manner that violates these Terms of Service

Additional Restrictions

The above list is not exhaustive. We reserve the right to determine, in our sole discretion, what constitutes misuse or unacceptable behavior. Any use of the App that we deem inappropriate, harmful, or contrary to our interests may result in immediate termination of your account without notice.

Data Accuracy Responsibility

You are solely responsible for the accuracy of all data you input into the App, whether manually entered or generated through AI parsing. You must review and verify all time entries before using them for billing, reporting, or other business purposes. We disclaim any responsibility for decisions made based on inaccurate or incomplete data.

8. Data Protection and Privacy

We are committed to protecting your privacy and handling your data in accordance with the General Data Protection Regulation (GDPR). Our Privacy Policy explains how we collect, use, and protect your data. By using the App, you agree to our data practices as described in our Privacy Policy.

Your Data Rights

• You retain ownership of your time tracking data.
• You have the right to access, rectify, or erase your personal data.
• You can export your data at any time.
• We will not sell your personal data to third parties.

9. Intellectual Property

The App and its content, features, and functionality are owned by EMGY and are protected by international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the App for personal or business purposes in accordance with these Terms.

10. Disclaimers and Limitation of Liability

Service Availability and Performance

The App is provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we do not guarantee that the App will be error-free, uninterrupted, or free from technical issues. The App may be temporarily unavailable due to maintenance, updates, server outages, or circumstances beyond our control.

AI-Powered Features Disclaimer

IMPORTANT: Our voice transcription and AI-powered time entry parsing features utilize artificial intelligence technology, which is inherently imperfect and may produce inaccurate results. You acknowledge and agree that:

• AI parsing may misinterpret your voice input or generate incorrect time entries
• You are solely responsible for reviewing and verifying all AI-generated content before relying on it
• We make no warranties regarding the accuracy, completeness, or reliability of AI-generated results
• You should not rely solely on AI features for critical time tracking without manual verification

Data Backup and User Responsibility

CRITICAL: You are solely responsible for maintaining backups of your time tracking data. We strongly recommend that you:

• Regularly export your data using the CSV export feature
• Maintain local copies of all important time tracking information
• Do not rely on the App as your only source of time tracking records
• Backup your data before any major app updates or changes

We are not responsible for any loss of data, including but not limited to data loss caused by: server outages, technical failures, account suspension, termination of service, software bugs, data corruption, cyber attacks, or any other circumstances beyond our control.

Limitation of Liability

To the maximum extent permitted by applicable law, EMGY, its directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to, including but not limited to:

• Your use of or inability to use the App
• Any inaccuracies in AI-generated content or parsing results
• Loss, corruption, or deletion of your data
• Service interruptions, outages, or technical failures
• Any reliance on information provided by the App
• Business losses, lost profits, or lost opportunities
• Any third-party actions or services integrated with the App

Maximum Liability Cap

In no event shall our total aggregate liability to you exceed the amount you actually paid us for the App in the 12 months immediately preceding the event giving rise to the claim.

No Professional Advice

The App is a productivity tool and does not constitute professional advice of any kind. You should not rely on the App for legal, accounting, or business decision-making purposes without consulting qualified professionals.

11. User Indemnification

You agree to defend, indemnify, and hold harmless EMGY, its directors, officers, employees, agents, affiliates, and service providers from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including attorney's fees) arising out of or relating to, including but not limited to:

• Your use or misuse of the App
• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any content you submit or transmit through the App
• Any disputes between you and third parties
• Your reliance on AI-generated content or parsing results

This indemnification obligation will survive termination of these Terms and your use of the App.

12. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including but not limited to:

• Material breach of these Terms
• Violation of applicable laws or regulations
• Fraudulent or illegal activity
• Misuse of the App or its features
• Non-payment of subscription fees
• At our sole discretion for any other reason

You may terminate your account at any time by contacting us or deleting the App. Upon termination:

• Your right to use the App will cease immediately
• We may delete your account and data without further notice
• You remain liable for any outstanding obligations
• Surviving provisions of these Terms will continue to apply

13. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, wars, terrorism, pandemics, government actions, labor disputes, internet outages, cyber attacks, or failures of third-party services (including Apple's App Store). During such events, our obligations will be suspended until the circumstance is resolved.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide you with at least 30 days' notice of any significant changes via email or in-app notification. Your continued use of the App after the changes take effect constitutes your acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delft, The Netherlands. If you are a consumer in the European Union, you may also bring proceedings in the courts of the country where you reside.

16. Online Dispute Resolution

If you are a consumer in the European Union, you can use the Online Dispute Resolution (ODR) platform provided by the European Commission to resolve disputes. You can access the platform here: http://ec.europa.eu/consumers/odr.
